Sprout IQ Terms of Service
These Terms of Service ("Terms") govern the marketing and advertising management services provided by Sprout IQ ("SIQ," "we," "us," "our") to businesses that engage us ("Client," "you," "your"). By checking the acceptance box, signing up for service, or continuing to use SIQ's services, you agree to be bound by these Terms. If you do not agree, do not use SIQ's services.
By accepting these Terms, you represent and warrant that: (a) any information you provide to us is true and accurate; (b) if you are accepting on behalf of a business, you have full authority to bind that business to these Terms; and (c) where your business is subject to professional licensing or regulatory registration, you hold that license or registration in good standing and, where you operate under or through another licensed entity (for example, a brokerage), you have that entity's authorization to enter these Terms and to advertise as described in Section 2. SIQ is entitled to rely on these representations without independent verification, and you are responsible for their accuracy.
1. Term and Effective Date
These Terms take effect once you accept them and provide a valid payment method on file. Services begin once your landing page(s) and advertising account are connected and live.
This engagement is month-to-month. There is no minimum term and no early-termination fee. Either party may cancel at any time by written notice (email is sufficient); SIQ winds the campaign down at the end of the billing period already in progress.
2. Services Provided
SIQ provides you with:
- One or more custom landing pages built for your business and service categories (for example, the specific services, offers, or seasonal promotions you want to promote)
- Management of a paid Meta (Facebook/Instagram) advertising campaign directed at your chosen service area
- A lead portal, or direct delivery, of enquiries captured through the landing page(s) to your own systems
- Weekly performance review, with creative, audience, or budget changes made only when performance data supports a change
These are marketing and advertising management services. They are not a referral of your professional or business services, and no part of SIQ's fee is contingent on whether any enquiry results in a sale, engagement, approval, or completed transaction with you.
3. Management Fee
SIQ's fee for the services in Section 2 is a flat monthly management fee. It is never calculated per lead, per enquiry, or per closed deal, and it never varies with the outcome of any individual transaction between you and your own customer.
Tiers:
- Launch, $495/month. Applies to any billing period in which your qualifying leads are attributed to enquiries from one (1) active landing page, in one (1) geographic market.
- Growth, $895/month. Applies to any billing period in which your qualifying leads are attributed to enquiries from two (2) or more active landing pages, within a single geographic market.
- Market Leader, $1,495/month. Applies to any billing period in which your qualifying leads are attributed to enquiries from active landing pages spanning two (2) or more distinct geographic markets (for example, separate campaigns and landing assets for the GTA and for the Belleville area). Market Leader also includes operational systems improvement work, multi-category or multi-zone campaign management, an AI and SEO-ready website, and seasonal planning from SIQ's local category research. SIQ scopes and delivers these additional services once a billing period first qualifies for Market Leader; the fee reflects the tier for the period qualifying leads actually arrived, and the additional services follow as SIQ schedules them.
The applicable tier for a billing period is determined after the period closes, based on how many distinct landing pages, and how many distinct geographic markets, produced a qualifying lead that period. A period that qualifies for Market Leader is billed at the Market Leader rate even if it would also satisfy Growth's page-count threshold.
No lead, no fee. Any billing period in which no qualifying lead arrives from any active landing page, the management fee for that period is waived in full. A "qualifying lead" is a real enquiry from within your service area, submitted with valid contact details and genuine intent; spam and invalid submissions do not count, and you are the judge of what counts, in good faith.
The management fee starts automatically seven (7) days after your first qualifying enquiry arrives, or once a valid payment method is on file if that happens later. You may flag an enquiry as not qualifying at any point in that seven-day window; if you do, the clock runs instead from the next qualifying enquiry to arrive.
4. Advertising Spend
You fund your own Meta advertising budget directly, on your own Meta ad account. You are the advertiser of record and keep your own advertising compliance in your own hands. SIQ manages the campaign but does not touch your Meta billing.
Where you have more than one landing page (for example, different services, offers, or seasonal promotions), SIQ may run the ad creative for each page inside a single shared ad set with one broad audience, rather than as separate ad sets per page, within a geographic market. Meta's delivery system then allocates the combined budget across the creatives toward whichever is producing the lowest cost per lead. Across distinct geographic markets (Market Leader), each market runs its own campaign and its own budget. You can start from about $5/day combined per market and set the amount; the right budget scales with coverage area and population, and Meta will show a suggested range once the service radius is set.
5. Invoicing and Payment Terms
For any billing period in which a management fee is owed under Section 3, SIQ issues an invoice after the period closes. Payment is due thirty (30) days from the invoice date ("Net 30").
Extension for special circumstances. SIQ may, at its sole discretion, agree in writing to extend the payment term beyond Net 30 for a given invoice or period, to accommodate documented special circumstances (for example, a temporary cash-flow gap). Any such extension must be agreed in writing before the original Net 30 due date passes, changes only the payment due date and never the fee amount or how it is calculated under Section 3, and is never granted or calculated by reference to whether any specific lead has resulted in a sale, engagement, or completed transaction with you.
Payment method. You provide a valid payment method on file before go-live, either a credit card or a pre-authorized debit (PAD) from a Canadian chequing account, and keep a valid payment method on file for the duration of this engagement. Where you use pre-authorized debit, you complete the processor's PAD authorization at setup, and SIQ gives any advance notice that authorization requires. You may switch between accepted payment methods, or to another method SIQ agrees to in writing, at any time.
6. This Fee Is Not a Referral Fee
SIQ's management fee is compensation for the marketing and advertising management services described in Section 2. It is not, and must never be construed as, a referral fee, a fee-split, a commission, a success fee, or any other form of compensation contingent on the referral, approval, sale, or completion of any specific transaction between you and your own customer. Nothing about the fee depends on what happens to any individual enquiry after SIQ delivers it to you.
You are responsible for confirming that this fee structure, and your use of SIQ's services generally, complies with the rules of any licensing, regulatory, or professional body that governs your business, where your profession or trade is subject to one. SIQ built this fee structure with those kinds of rules in mind, but your compliance with your own regulator, licensing body, or professional association, if any, is your responsibility, not SIQ's.
7. Lead Data and Ownership
Leads generated through your landing page(s) belong to you. SIQ delivers each enquiry to your own systems (portal, CRM, inbox, or equivalent) and does not resell, share, or reuse your leads for any other client or purpose.
8. Exclusivity
While you are an active client, SIQ will not run this same offer for another business in your service category within your coverage area. Coverage area is set at onboarding and confirmed in writing, and expands market by market as you move onto Market Leader.
9. Your Compliance Responsibilities
You are solely responsible for ensuring that landing page content, advertising creative, and lead-handling comply with the standards of any licensing or regulatory body that governs your business. SIQ builds pages and ads to the general standard your compliance team (or, where you have none, you yourself) has described to us, but final compliance review and sign-off before launch is your responsibility, not something SIQ verifies on your behalf.
10. No Guarantee, Limitation of Liability
SIQ does not guarantee any specific number of leads, any lead's quality, or that any lead will result in a sale, engagement, or completed transaction with you. SIQ's total liability under these Terms, in any event, is limited to the fees you paid in the three (3) months preceding the claim. Neither party is liable to the other for indirect, incidental, or consequential damages.
11. Confidentiality
Each party will keep the other's non-public business information confidential and use it only to perform these Terms.
12. Termination
Either party may cancel at any time per Section 1. On cancellation, SIQ pauses advertising and stops delivering new leads as of the end of the billing period already in progress, any management fee already owed for a completed period remains payable per Section 5, and landing pages are taken down or gated within a reasonable time after the wind-down period ends.
13. Changes to These Terms
SIQ may update these Terms from time to time. We will notify you of material changes by posting the updated Terms on this page and updating the effective date above. Continued use of SIQ's services after a change takes effect constitutes acceptance of the updated Terms.
14. Governing Law
These Terms are governed by the laws of the Province of Ontario, without regard to conflict-of-law principles, reflecting where Sprout IQ operates. This clause does not affect your separate obligations to any regulatory, licensing, or professional body with authority over your business in your own province, territory, or industry.
15. Entire Agreement and Notices
These Terms are the entire agreement between you and SIQ regarding the services described in Section 2, and supersede any prior discussion or proposal on the same subject. Notices under these Terms may be given by email to the addresses each party has used in the course of the relationship.
